Membership Terms and Conditions
InnovED Network of Practice
Effective September 1, 2026
These terms apply to registration in the InnovED Network of Practice (“Network”), offered by the University of Toronto, Ontario Institute for Studies in Education, Continuing and Professional Learning (“OISE CPL” or “CPL”). By completing registration and payment, you acknowledge that you have reviewed and agree to these terms.
1. Membership period
Membership begins on October 15, 2026 and ends on June 30, 2027. Membership does not renew automatically. Registration is available only during the designated registration period. Continued participation after the membership period requires a new registration, if offered.
2. Membership fee
The membership fee is CAD $275 + HST and is payable in full at registration. Membership may not be transferred, assigned, shared, or resold.
3. Membership inclusions
During the membership period, registered members may receive:
- invitations or access to designated entrepreneurship- and innovation-related events;
- access to designated InnovED MicroLab activities;
- monthly Network connection sessions, which may include guest speakers and peer exchange;
- opportunities to connect with other Network members; and
- one CPL member benefit as described in section 4.
Schedules, delivery formats, speakers, and event descriptions will be communicated separately and may be updated during the membership period. Unless CPL states otherwise, membership does not include travel, accommodation, meals, equipment, third-party services, or admission to activities not identified as Network inclusions.
4. CPL member benefit
Members receive one CAD $200 member benefit during the 2026-2027 Network year, which may be applied toward an eligible OISE CPL program or event offered between October 2026 and June 2027. Eligible offerings are determined by CPL and are subject to availability, registration requirements, and any offering-specific terms.
The benefit has no cash value and may not be transferred, resold, refunded, or applied retroactively.
5. Participation and member responsibilities
Participation is voluntary. Members are expected to participate professionally, respectfully, and constructively and to comply with applicable University, OISE, CPL, venue, technology-platform, and partner requirements.
Failure to attend or use membership benefits does not constitute withdrawal and does not entitle a member to a refund, credit, extension, transfer, substitution, or replacement benefit.
Participation in a partner or third-party event may require separate registration and acceptance of the organizer’s own terms, privacy notice, and code of conduct.
6. Withdrawal, refunds, and program changes
Membership fees are non-refundable after registration except where expressly provided in these terms or required by applicable law.
CPL may make reasonable changes to Network activities, including dates, times, speakers, facilitators, content, locations, delivery formats, and technology platforms. Individual activities may be postponed, replaced, combined, delivered online, rescheduled, or cancelled. Changes to individual activities do not normally entitle a member to a refund.
Where practicable, CPL may provide a substitute activity, recording, alternative resource, or rescheduled date. If CPL cancels the Network in its entirety, CPL will determine an appropriate refund or other remedy having regard to programming already delivered and applicable law.
CPL is not responsible for incidental expenses or losses arising from an event change or cancellation, including travel, accommodation, lost income, or third-party charges.
7. Community conduct
Members must:
- communicate and participate respectfully and professionally;
- refrain from harassment, discrimination, threats, disruption, unlawful conduct, or conduct that creates health, safety, privacy, or security risks;
- respect the intellectual property, privacy, confidential information, and commercial interests of others;
- refrain from unauthorized recording, photographing, reproduction, or distribution of sessions or materials; and
- refrain from using the Network primarily for unsolicited mass marketing, recruitment, fundraising, or commercial solicitation.
Members must also comply with CPL’s published Policies and Guidelines and any applicable University of Toronto code of conduct.
8. Confidentiality and peer exchange
Network discussions may involve professional experiences, ideas, business concepts, challenges, or other sensitive information. Members must not disclose another participant’s personal information or information clearly identified as confidential without permission.
Members should not share trade secrets, legally privileged information, sensitive personal information, or other material that requires a formal confidentiality agreement. CPL cannot guarantee that other members will maintain confidentiality and is not responsible for another participant’s unauthorized use or disclosure of information.
9. Intellectual property and use of materials
Speakers, facilitators, CPL, the University, partners, and members retain the intellectual property rights they otherwise hold in their respective materials.
Materials supplied through the Network are provided for the registered member’s personal, non-commercial learning and participation. Unless written permission is obtained, members may not copy, publish, sell, adapt, distribute, upload, publicly display, or use supplied materials to create commercial products or training.
Participation in InnovED does not, by itself, transfer intellectual property rights between a member, CPL, the University, or another participant. Members retain whatever rights they otherwise hold in materials they bring to or create independently of the Network.
10. Brand, public communications, and representation of relationship
Membership in InnovED does not create a partnership, joint venture, agency, sponsorship, endorsement, investment relationship, commercial affiliation, or other business relationship between a member or venture and InnovED, OISE CPL, OISE, or the University of Toronto.
Members may publicly state their membership using wording and assets approved by CPL. Unless otherwise authorized in writing, members may not use the names, logos, trademarks, visual identity, quotations, photographs, or other brand assets of InnovED, OISE CPL, OISE, or the University of Toronto in websites, social media, pitch decks, investor or funding materials, media releases, sales materials, or other public communications.
Members may not state or imply that they are “in partnership with,” “collaborating with,” “supported by,” “endorsed by,” “affiliated with,” or otherwise formally connected to InnovED, OISE CPL, OISE, or the University unless that description has been specifically approved in writing.
CPL may require a member to promptly correct or remove any communication that inaccurately describes or implies the member’s relationship with the Network or University.
11. Privacy, personal information, and member directory
The University of Toronto is subject to Ontario’s Freedom of Information and Protection of Privacy Act (FIPPA). Personal information collected in connection with InnovED will be collected, used, disclosed, retained, and protected in accordance with FIPPA and applicable University privacy policies and practices.
Personal information may be used as reasonably necessary to:
- process registration and payment;
- administer membership, events, and Network communications;
- provide accommodations and participation support;
- maintain safety, security, and appropriate conduct; and
- evaluate and improve the Network, including through aggregated or de-identified reporting where practicable.
Where identifiable personal information is to be shared with another University unit or an external partner for a purpose not reasonably necessary to administer the Network, members will be provided with appropriate notice and, where required, asked for consent.
Participation in the member directory is optional. A member’s name, professional role, organization, and approved contact information will be included only with the member’s express consent. Members may withdraw directory consent for future sharing by contacting CPL.
12. Photography, recording, and automated or AI tools
CPL may record certain online sessions or take photographs or recordings at events. Members will be notified when recording is taking place. Separate consent will be obtained before an identifiable member’s image, voice, name, quotation, or testimonial is used for public marketing or promotional purposes, unless another lawful authorization applies.
Members may not record, transcribe, or capture Network sessions using audio, video, automated transcription, AI meeting assistants, note-taking bots, or similar technologies without prior authorization from CPL. This restriction does not prevent the use of approved assistive technologies or accommodations.
13. Accessibility and accommodation
Members who require disability-related accommodation should contact OISE CPL at oise.cpl@utoronto.ca at registration or as soon as the need becomes known. CPL will address accommodation requests in accordance with applicable University policies.
14. Suspension or termination
CPL may impose reasonable participation conditions or suspend or terminate membership where a member:
- materially or repeatedly breaches these terms or an applicable policy;
- engages in harassment, discrimination, threats, unsafe conduct, serious disruption, misuse of information, or unauthorized recording;
- misuses membership access or the CPL member benefit;
- provides materially false registration information; or
- creates a material legal, privacy, security, reputational, or operational risk.
Except where immediate action is reasonably necessary for safety, security, privacy, or legal reasons, CPL will normally provide notice of the concern and a reasonable opportunity to respond. Termination for breach does not normally result in a refund. Nothing in this section replaces any process required under an applicable University policy.
15. No guarantee of outcomes and limitation of responsibility
CPL, the University, U of T Entrepreneurship, speakers, facilitators, and partners do not guarantee that participation will produce employment, revenue, funding, investment, partnerships, customers, academic admission, credentials, or any other professional or business result.
Information shared through the Network is for general learning and discussion and is not legal, financial, accounting, investment, medical, or other regulated professional advice. Members remain responsible for their own decisions and should obtain independent advice where appropriate.
To the extent permitted by law, CPL and the University are not responsible for decisions, transactions, commitments, representations, disputes, or outcomes arising from interactions between members or between a member and a speaker, partner, or third party.
16. Other policies, changes to terms, and contact
These terms should be read with CPL’s published Policies and Guidelines, applicable University of Toronto privacy requirements and codes of conduct, and any event-specific terms presented to the member. If an event-specific term conflicts with these membership terms, the event-specific term governs only for that event. If these terms conflict with a mandatory University policy or applicable law, the University policy or law governs.
The terms accepted at registration govern the member’s purchase. CPL may make non-material administrative updates during the membership period. CPL will provide advance notice of any material change that substantially reduces membership benefits or materially changes a member’s obligations.
